Welcome to Aiva. These Terms of Service ("Terms") govern your access to and use of Aiva's website, software, phone systems, AI voice agents, integrations, and related services (collectively, the "Services").
By creating an account, purchasing a subscription, or using the Services, you agree to be bound by these Terms.
If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.
2. Description of Services
Aiva provides AI-powered phone answering, call routing, appointment scheduling, lead qualification, call transcription, notifications, CRM integrations, and related communication services.
The Services may include:
AI voice answering
Appointment booking
Lead qualification
Call summaries
SMS notifications
Email notifications
CRM integrations
Calendar integrations
Call recording and transcription
Future features introduced by Aiva
Aiva may modify, improve, or discontinue features at any time.
3. Customer Responsibilities
You are responsible for:
Providing accurate account information
Maintaining security of your account
Maintaining access to any phone numbers connected to Aiva
Maintaining permissions for any connected third-party services
Ensuring compliance with all applicable laws and regulations
You are solely responsible for how you use the Services and any communications generated through the Services.
4. Third-Party Integrations
Aiva may integrate with third-party providers including telephone carriers, calendar systems, CRMs, payment processors, and other software platforms.
Aiva is not responsible for outages, failures, errors, data loss, or service interruptions caused by third-party providers.
You authorize Aiva to access connected third-party systems as necessary to provide the Services.
5. Subscription and Billing
Services are provided on a recurring subscription basis.
By subscribing, you authorize Aiva to charge your payment method for:
Subscription fees
Usage-based charges
Overage charges
Applicable taxes
Subscriptions automatically renew unless canceled.
All fees are non-refundable unless otherwise required by law.
Aiva reserves the right to suspend or terminate Services for non-payment.
6. Cancellation
You may cancel your subscription at any time through your account or by contacting Aiva.
Cancellation becomes effective at the end of the current billing period.
No refunds will be provided for unused portions of a subscription.
7. AI Limitations
Aiva uses artificial intelligence and automated systems.
You acknowledge that:
AI-generated responses may contain errors.
Appointment bookings may occasionally be inaccurate.
Call summaries and transcripts may contain inaccuracies.
AI decisions are not guaranteed to be correct.
Service availability is not guaranteed.
You remain responsible for reviewing information generated by the Services before relying on it.
Aiva does not guarantee any business results, revenue increases, lead generation performance, booking rates, or customer outcomes.
8. Customer Data
You retain ownership of all customer data, call recordings, transcripts, and information submitted through the Services.
You grant Aiva a limited license to process, store, transmit, and use such information solely to provide and improve the Services.
Aiva will not sell your customer data.
Aiva may use aggregated and anonymized data to improve its products and services.
9. Call Recording and Consent
Certain Services may record or transcribe calls.
You are solely responsible for ensuring compliance with all federal, state, local, and international laws regarding call recording, monitoring, and consent requirements.
Aiva assumes no responsibility for your compliance obligations.
10. Acceptable Use
You may not use the Services to:
Violate any law or regulation
Conduct fraudulent activities
Send spam or unwanted communications
Harass, threaten, or abuse others
Infringe intellectual property rights
Distribute malware or harmful code
Interfere with the operation of the Services
Aiva may suspend or terminate accounts that violate these restrictions.
11. Intellectual Property
Aiva retains all rights, title, and interest in the Services, software, technology, trademarks, branding, and related intellectual property.
These Terms do not grant ownership rights to any Aiva intellectual property.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
AIVA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
AIVA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIVA SHALL NOT BE LIABLE FOR:
LOST PROFITS
LOST REVENUE
LOST BUSINESS OPPORTUNITIES
LOSS OF DATA
BUSINESS INTERRUPTION
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
AIVA'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER TO AIVA DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Aiva and its officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from:
Your use of the Services
Your violation of these Terms
Your violation of applicable laws
Content or information submitted through your account
15. Changes to Terms
Aiva may modify these Terms at any time.
Updated Terms will become effective upon posting.
Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles.
Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas.
